Capitalisation Table

Live · Permissioned
Live App

Nxt7a Cap Table

The live capitalisation table – fully-diluted ownership, SAFE notes, ESOP, financing rounds, a round modeller, and a per-investor portal. Administrators see the full register; each investor sees only their own holdings, with secure sign-in restricted to approved accounts.

Raising A Round

SAFE → Priced · AIC 2023
Term Sheet

Investor Term Sheet

Summarises the principal terms of a proposed investment – investment amount, round size, pre-money valuation, the class of shares (Seed Preference) with liquidation preference, and the key conditions. Non-binding heads of agreement that the long-form documents then implement.

SAFE

Simple Agreement For Future Equity

The SAFE used for early, unpriced investment. Key terms cover the purchase amount, discount, valuation cap, and completion date; the investor converts to equity at the next priced round. Executed under section 127 of the Corporations Act.

SAFE · Side Letter

SAFE Side Letter

Grants a specific SAFE investor additional rights (for example information or pro-rata rights) that sit alongside the SAFE without altering its standard terms. Short-form letter referencing the investor's SAFE.

Subscription

Subscription Agreement

The priced-round mechanics. Sets out the subscription for new shares, completion obligations of the company and investors, company warranties, and the conditions to completion. Pairs with the Shareholders Deed and Constitution.

Governance & Cap Table

Post-Investment
Deed

Shareholders Deed

Governs the relationship between shareholders after investment – board composition, reserved matters requiring investor consent, information rights, pre-emptive rights on new issues and transfers, drag/tag, and founder lock-up. The operative governance document for the cap table.

Constitution

Company Constitution

The replacement constitution for a proprietary company with external investors. Share capital and class rights, director powers, issue and transfer of shares, meetings, and the interaction with the Shareholders Deed (which prevails on inconsistency). Includes the B Corp purpose and stakeholder governance clauses.

B Corp

B Corp Constitutional Amendment

The B Lab Australia template clauses – the purpose clause and the directors' stakeholder-consideration clause – with the special-resolution steps to adopt them for Pending B Corp registration, and the list of supporting documents updated to align.

IP Deed

Deed Of IP Assignment

Assigns intellectual property created by a founder, contractor, or assignor to the company – a standard investor condition precedent. Covers the assignment, moral-rights consents, and further-assurance obligations so the company owns its IP cleanly.
