Core Commercial Agreements
AU Law · MSA StackMaster Services Agreement
The base agreement with the Client. Twelve clauses covering services, fees, IP, confidentiality, privacy under the Privacy Act 1988, warranties under the Australian Consumer Law, liability cap, indemnities, termination, insurance, and governing law (NSW).
Statement Of Work
Sits under the MSA. Scope, deliverables with acceptance criteria, named project team, milestone-based fee schedule, assumptions and dependencies, and the SOW-specific terms (data residency, reporting cadence, termination assistance).
Support & SLA Agreement
Support tiers, response and resolution targets, and platform-availability commitments – mapped directly to the pricing matrix. Standard support (5/2/1 business-day response), priority support (4-hour Advanced, 2-hour Enterprise + dedicated CSM), uptime commitments, and an Enterprise service-credit schedule.
Data License & Data Sharing Agreement
For licensing datasets in either direction. Scope, permitted use, attribution (including Landsat / USGS-NASA credits), Derivatives ownership, privacy and re-identification clauses, audit rights, and termination effect on derivative works.
Pilot / Trial Agreement
Short-form, time-boxed evaluation. Defines named users, success criteria in an Annexure, "as-is" warranty position, a hard liability cap, low-friction exit, and an explicit path to a Master Services Agreement after the pilot.
Reseller & Partner Agreement
Non-exclusive by default, supports referral or reseller models. Includes deal-registration, brand-mark licence, conduct and compliance obligations (anti-bribery, sanctions, modern slavery), and ninety-day commission tail on termination.

Binding two-phase pilot and post-pilot term sheet with Te Roroa Iwi Trust. Anchored on iwi data sovereignty, integrates Local Context TK/BC labels, includes seven pilot deliverables with acceptance criteria, a four-week review gate before Phase 2, and Schedule A rate card.
Nxt7a × Skjander Term Sheet
Binding two-phase pilot and post-pilot term sheet with Skjander. Focused on replacing manual R/QGIS biodiversity-credit workflows with governed platform analysis across the NSW Biodiversity Offsets Scheme. Five pilot deliverables with acceptance criteria, a four-week review gate before Phase 2, and Schedule A rate card.
How The Stack Fits Together
- Entry point. A new customer usually starts with a Pilot / Trial Agreement (or a bespoke Term Sheet for a structured engagement), then converts to the MSA + SOW for ongoing use.
- MSA is the spine. The Data License, Support & SLA, and any SOW all sit under the Master Services Agreement and inherit its liability, confidentiality, and governing-law clauses.
- Support tiers track pricing. The Support & SLA response times and uptime commitments mirror the Free / Basic / Advanced / Enterprise / Pilot plans in the platform Pricing Matrix. Keep the two in sync when pricing changes.
- Partners. The Reseller & Partner Agreement governs indirect sales; End Customers still accept Nxt7a's MSA before platform access.
